Terms of Use

These Terms of Use (the “Terms”) form a binding agreement between you (“you”, “your”) and N.T.I MEASURE (Nicolas Tanala), established in France, the operator of Annoteer (“we”, “us”, “our”), governing your access to and use of the Annoteer application, website, and related services (together, the “Service”). By installing, enabling, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Annoteer is a Microsoft Teams meeting extension that provides collaborative document annotation (PDF, images, PowerPoint, Word, Excel) and AI-assisted data extraction. The Service is provided “as-is” and features may change or be discontinued at any time.

2. Eligibility and accounts

You must be at least 16 years old and authorized by your employer or organization to use the Service. You are responsible for the accuracy of the Azure AD / Microsoft 365 account used to sign in and for all activity performed under that account.

We may suspend or terminate your access if we reasonably believe you have violated these restrictions.

4. Your content

You retain all rights in the documents, annotations, and other content you upload or create using the Service (your “Content”). You grant us a limited, non-exclusive, royalty-free licence to host, store, transmit, and process your Content solely as necessary to operate the Service and to provide it to you and the meeting participants you have chosen to collaborate with.

You are solely responsible for your Content and for ensuring you have the legal right to share it with the meeting participants you grant access to. We do not monitor the content of documents uploaded to the Service, but we may remove Content that violates these Terms or applicable law.

5. AI extraction

If you use the AI extraction feature, the content of the relevant document will be sent to Anthropic’s Claude API for processing. AI outputs are generated probabilistically and may contain errors, omissions, or fabricated content. You must review AI outputs before relying on them for any consequential decision. We make no warranty as to the accuracy, completeness, or suitability of AI-generated output.

6. Intellectual property

The Service, including its source code, user interface, trademarks, and documentation, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

7. Third-party services

The Service integrates with Microsoft Teams, Microsoft Entra ID, Microsoft Azure, and Anthropic. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or behavior of third-party services.

8. Fees and plans

Some features of the Service may require a paid subscription. If you purchase a paid plan, the applicable fees, billing period, and cancellation terms will be presented to you at the point of purchase and form part of these Terms. Free-tier access is offered without commitment and may be changed or withdrawn at any time.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANNOTATIONS, DOCUMENTS, OR AI EXTRACTIONS WILL BE ACCURATE, RELIABLE, OR AVAILABLE AT ALL TIMES.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (b) ONE HUNDRED EUROS (€100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with (a) your Content, (b) your use of the Service, or (c) your violation of these Terms or any applicable law.

12. Suspension and termination

You may stop using the Service at any time by uninstalling Annoteer from Microsoft Teams. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. Sections 4 (Your Content), 6 (Intellectual property), 9 (Disclaimers), 10 (Limitation of liability), 11 (Indemnification), and 14 (Governing law) survive termination.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in the app and reflected in the “Last updated” date at the top of this page. Continued use of the Service after a change constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of France, excluding its conflict-of-laws rules. The courts located in Paris, France have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms, subject to any non-waivable consumer protection rights available to you under the laws of your place of residence.
